Can Non-US Residents Form a US LLC?
Yes — there is no US citizenship or residency requirement to form an LLC in any US state. Non-US residents can form and own a US LLC entirely remotely without visiting the United States. This makes LLC formation accessible to international founders, food importers, and e-commerce businesses worldwide.
Why Form a US LLC?
A US LLC provides several important advantages for international food businesses entering the US market:
- Acts as the registered FDA food importer and FSVP entity
- Enables opening a US business bank account (required for receiving US payments)
- Creates a US business identity for contracts, distributor relationships, and credit building
- Provides limited liability protection for the foreign owner
- Simplifies US tax reporting (single-member LLCs are pass-through entities)
Which State Should You Choose?
For most foreign-owned LLCs used for food importing or e-commerce, the choice comes down to two states:
New Mexico — Recommended for lowest ongoing cost
- Lowest state formation fee of any US state
- No annual report requirement — no ongoing state filing fees
- Standard privacy protections
- 1–3 business day processing
Wyoming — Recommended for privacy
- Low state formation fee with a modest annual report requirement
- Strong privacy laws — member names kept off public records
- Strong asset protection framework popular with international founders
- 1–3 business day processing
Which state is right for you? For food importers and e-commerce businesses focused on keeping ongoing costs low, New Mexico is the clear choice. For businesses holding assets or IP through the entity, or where owner privacy is a priority, Wyoming is worth the modest additional annual cost. ClearPath will advise on the right choice during your intake assessment.
Obtaining Your EIN
An Employer Identification Number (EIN) is required for US business banking, tax reporting, and customs entry. If you have a US Social Security Number (SSN) or ITIN, you can obtain your EIN directly from the IRS website at no cost. If you have no SSN or ITIN, your EIN must be obtained via the IRS SS-4 fax method, which takes 4–6 weeks. ClearPath handles this as part of the formation engagement.
US Business Banking
To open a US business bank account as a non-resident, you will need your LLC formation documents, EIN, valid passport, and US mailing address (provided by your registered agent). Recommended banks:
- Mercury — best for international founders, no monthly fees, strong API integrations
- Relay — similar to Mercury, strong for team accounts and expense management
- Wise Business — good for international transfers, limited US domestic banking
Registered Agent Requirement
All US LLCs are legally required to maintain a registered agent — a US-based person or company with a US street address available during business hours to receive legal and official documents. ClearPath arranges registered agent service through a trusted partner. Year 1 registered agent service is included in the ClearPath formation engagement.
Operating Agreement
An LLC Operating Agreement documents the ownership, management, and operating rules of your LLC. Most US banks require an Operating Agreement to open a business account. ClearPath includes an Operating Agreement as part of the formation engagement.
